By accessing or using the services provided by JKL ENG LLC, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions contained herein, you must not access or use our services. These terms apply to all visitors, users, and others who engage with our company for engineering and technology services.
JKL ENG LLC provides engineering and technology services including but not limited to computer systems design, IT consulting, software engineering, cloud and DevOps solutions, cybersecurity, and technical support. Specific deliverables, timelines, and pricing for each engagement will be defined in individual service agreements or statements of work.
Clients agree to provide accurate and complete information necessary for service delivery. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must notify JKL ENG LLC immediately of any unauthorized use of your account or any other breach of security.
All intellectual property developed by JKL ENG LLC during the course of an engagement will be assigned to the client upon full payment, unless otherwise specified in a written agreement. JKL ENG LLC retains the right to use general knowledge, skills, experience, and techniques acquired during the engagement. Pre-existing tools, frameworks, and proprietary methodologies remain the exclusive property of JKL ENG LLC.
Fees for services will be outlined in individual project agreements. Payment is due according to the schedule specified in each agreement. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by Utah law, whichever is lower. All fees are in United States dollars unless otherwise specified.
JKL ENG LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim. These limitations apply to the fullest extent permitted by applicable law.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah and the United States of America. Any disputes arising from these terms or our services shall be resolved in the courts located in Salt Lake County, Utah. The prevailing party in any legal action shall be entitled to recover reasonable attorney fees and costs.
JKL ENG LLC agrees to maintain the confidentiality of all proprietary information shared by clients during the course of an engagement. Confidential information includes trade secrets, business plans, technical data, customer lists, and any other information designated as confidential. This obligation survives termination of the service agreement for a period of five years.
Either party may terminate an engagement by providing 30 days written notice. Upon termination, the client shall pay for all work completed through the termination date. Sections regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination of any agreement.
JKL ENG LLC reserves the right to modify these Terms of Service at any time. Material changes will be communicated through our website or direct notice to clients. Continued use of our services after modifications constitutes acceptance of the updated terms.
